(Reuters)-Engie Brasil (EGIE3) reported on Friday that it signed a contract for the acquisition of the Jari Energy Company and the Caldeirão Energy Company, which includes the Caldeirão Caldeirão and Santo Antônio do Jari Hydroelectric Plants, in an estimated transaction of almost R $ 3 billion.
Selling companies are EDP and CTG, according to the relevant fact of Engie.
The Santo Antônio do Jari Hydroelectric Power Plant, located on the Jari River, between the municipalities of Laranjal do Jari (AP) and Almeirim (PA), has 393 megawatts (MW) installed capacity and 211 MW mediums of commercial capacity.

The Caldeirão Cachoeira Hydroelectric Power Plant, located on the Araguari River, in the municipality of Ferreira Gomes (AP), has an installed capacity of 219 MW and a commercial capacity of 123 MW medium.
The expectation of the total value of the acquisition, contemplating the indebtedness of assets, is R $ 2.96 billion, being R $ 2.29 billion of “equity value” and R $ 671.5 million net debt.
In a press release, Engie said the two units will be integrated into a generating park that today has 11.3 gigawatts (GW), 9.6 GW of its own installed capacity, which consists of 115 plants, 11 hydroelectric and 104 complementary – biomass, spstre, wind and solar.

“The operation will create value to shareholders by allowing us to allocate capital in already operational assets and with safe and long -term revenues, with good balance between risks and returns, where we can also apply all of our recognized expertise in hydroelectric operation,” said the chief financial and investor relations, Eduardo Takamori, in the statement.
The closure of the operation still depends on preceding conditions, including approval by the Administrative Council for Economic Defense (Cade).
