Neoenergia (Neoe3) sells slice in transmission asset to Warrington

Neoenergia (NEOE3) and Unique Power, a fund fully controlled by Warrington Investment, have entered into a stock purchase and sale contract that establishes the sale of 50% of new shares to be issued by Neoenergia transmission.

These shares will be issued as part of a capital increase, resulting from the transfer of the company’s participation in Itabapoana Neoenergia energy transmission, with equity value of R $ 127.5 million (base date of September 30, 2024), subject to adjustments until the transaction is closed.

Unique Power will become part of the shareholders’ agreement between Neoenergia and Warrington, acting in conjunction with Warrington, with the sum of their stakes in neoenergy transmission reaching 50%. Neoenergia transmission will continue as co-controlled by the company, Unique Power and Warrington.

Itabapoana net debt, of R $ 577 million (base date of December 30, 2024), has already been deconstracted, since in December 2024, Itabapoana was classified as non -circulating asset for sale, according to the financial statements of December 31, 2024.

The transaction is the first after signing of the Framework Investment Agreement between the company and Warrington on April 25, 2023. The agreement granted Warrington the first offer to acquire 50% participation in other company transmission assets, under construction or operation.

The completion of the transaction is subject to the usual conditions, including approval by the Administrative Council for Economic Defense (Cade), the National Electric Energy Agency (Aneel) and other third parties.
